TELEPORT SERVICE AGREEMENT AND TERMS OF USE

Please read this Service Agreement and Terms of Use (the "Agreement") carefully before accessing or using any services provided through the Teleport website available at https://teleport.ltd (the "Website"), the Teleport dashboard, APIs, checkout pages, payment links, storefronts, payment tools and related services.
The Website, dashboard, APIs, checkout pages, payment links, storefronts, payment tools and related technical infrastructure are collectively referred to as the "Platform".
The Services are provided by:

PT. Atknin Global Science is referred to in this Agreement as "Teleport", "we", "us" or "our".
By visiting the Website, creating an Account, accessing the Platform or using any Service, you confirm that you have read, understood and agreed to this Agreement and the policies incorporated into it, including the Privacy Policy, AML/KYC Policy, Acceptable Use Policy, Refund and Dispute Policy and Risk and Reserve Policy.
If you do not agree to this Agreement, you must not use the Website, access the Platform, create an Account or use the Services.
The Platform and Services are provided on an "as is" and "as available" basis, subject to the disclaimers and limitations set out below.
1. Definitions
Account means an account created by a User on the Platform.
Applicable Law means any law, regulation, sanctions regime, tax rule, court order, Payment Partner rule or other legally binding requirement applicable to Teleport, a User, Buyer or Transaction.
Balance means funds recorded in the User's Account as available, pending, reserved, restricted or negative.
Business Buyer means a Buyer purchasing a Product in connection with a trade, business, craft or profession.
Buyer means an individual or legal entity purchasing or attempting to purchase a Product through the Services.
Chargeback means a payment reversal or dispute initiated by a Buyer, bank, card issuer, Payment Partner, payment provider or payment scheme.
Consumer means a natural person purchasing a Product mainly for personal purposes and not in connection with a business, trade, craft or profession.
Consumer Tax means VAT, GST, sales tax, use tax, digital goods tax, digital services tax or another indirect tax, levy or governmental charge applicable to a Consumer Transaction.
Consumer Transaction means a Transaction in which a Consumer purchases a Product.
Digital Product means software, digital content, subscriptions, memberships, licences, access rights, online services or other electronically supplied products or services.
Gross Transaction Amount means the total amount charged to and paid by a Buyer in connection with a Transaction.
Minimum Transaction Fee means the minimum Transaction Fee charged for a successful Transaction, being USD 0.30 or its equivalent unless another amount is disclosed or agreed.
Net Settlement Amount means the amount payable or credited to the User after deduction of Consumer Taxes, Transaction Fees, Payment-Processing Charges, refunds, Chargebacks, Reserves and other applicable amounts.
Payment Partner means a bank, card acquirer, payment institution, processor, card scheme, digital-asset provider, payout provider, tax provider or other third party used to provide the Services.
Payment-Processing Charge means a charge connected with processing a payment, including charges imposed by or connected with a bank, card scheme, acquirer, processor, payment method or Payment Partner.
Platform means the Website, Teleport dashboard, APIs, checkout pages, payment links, storefronts, payment tools and other technical infrastructure through which the Services are provided.
Product means any physical goods, Digital Products or services offered, supplied or sold by a User through the Services.
Reserve means an amount withheld, delayed or restricted to cover actual or potential refunds, Chargebacks, taxes, penalties, fraud losses or other liabilities.
Service Plan means a free, trial, paid or individually negotiated plan determining the features, tools, limits and support available to the User.
Service Subscription Fee means a recurring or one-time fee charged for access to and use of a Service Plan.
Subscription means a recurring payment arrangement under which a Buyer is charged at agreed intervals.
Transaction means a payment, purchase, transfer, exchange, payout, refund, reversal or other financial operation processed or attempted through the Services.
Transaction Fee means the percentage-based fee charged by Teleport in connection with a successful Transaction.
User, "you" or "your" means the individual or legal entity entering into this Agreement and using the Services.
2. Acceptance and Eligibility
This Agreement is legally binding between you and Teleport.
You may use the Services only if:
a. you are at least 18 years old;
b. you have legal capacity to enter into this Agreement;
c. the information you provide is complete, accurate and not misleading;
d. your use of the Services is lawful; and
e. you are not prohibited from using the Services under Applicable Law, sanctions, Payment Partner requirements or Teleport's AML/KYC Policy.
If you act on behalf of a company or another legal entity, you confirm that you have authority to bind that entity to this Agreement.
Unless Teleport expressly confirms otherwise in writing, you may not create an Account or use the Services if:
a. you are a citizen or resident of the United States of America;
b. you are physically located in the United States of America;
c. you conduct the relevant activity through an entity established in the United States of America;
d. you are a citizen or resident of a country or territory identified as prohibited or restricted in Teleport's AML/KYC Policy;
e. you are subject to sanctions or are owned or controlled by a sanctioned person;
f. you act on behalf of a prohibited, restricted or sanctioned person; or
g. Teleport or a Payment Partner is not permitted or able to provide the relevant Service to you.
You must not use a VPN, proxy, false address, nominee, intermediary or another method to conceal your actual location, citizenship, residence, ownership or control.
Teleport may verify your eligibility using identification documents, addresses, IP data, device information, telephone-country codes, bank details and payment information.
You must notify Teleport if your citizenship, residence, location, ownership, control or sanctions status changes in a way that may affect your eligibility.
3. Account, Verification and Security
You must provide complete, accurate and current information when creating and maintaining your Account.
Teleport may require:
a. identity documents;
b. residential or business address;
c. company registration and ownership information;
d. information about directors, representatives and beneficial owners;
e. tax identification information;
f. business, Product and Website information; and
g. information about expected Transaction activity.
Unless Teleport approves otherwise, each individual or legal entity may maintain only one Account.
You must not create multiple Accounts to avoid limits, Fees, verification requirements, Reserves or other controls.
You are responsible for protecting your login credentials, API keys and other access methods, restricting access to authorised persons and monitoring activity in your Account.
You must immediately notify Teleport at connect@teleport.ltd of suspected unauthorised access, compromised credentials or unauthorised Transactions.
Teleport may request additional or updated information at any time, including where:
a. Transaction activity changes;
b. limits are increased;
c. a new Product or business model is introduced;
d. information appears incomplete or inconsistent;
e. a fraud, compliance or sanctions concern arises; or
f. a Payment Partner or competent authority requires it.
If you fail to provide requested information, Teleport may reject registration, restrict Services, suspend Transactions or payouts, establish a Reserve or close the Account.
Teleport may disclose information and Transaction records to Payment Partners, competent authorities and other persons where required or permitted by Applicable Law.
4. Services and Service Plans
Subject to eligibility, verification and availability, Teleport may provide:
a. online storefront creation and management;
b. payment links and hosted checkout pages;
c. invoices and payment requests;
d. one-time and recurring payments;
e. card, bank, local-payment-method and digital-asset payments;
f. collection of payments from Buyers;
g. recording and management of balances;
h. transfers and payouts;
i. currency conversion;
j. digital-asset wallets;
k. Transaction history, reporting and analytics;
l. APIs, SDKs and integrations;
m. refund and dispute-management tools;
n. team-access and Account-management functions; and
o. other services made available through the Platform.
Not all Services are available in all countries, currencies or Service Plans.
Teleport may use Payment Partners to provide all or part of the Services. Availability and operation may depend on their terms, systems and decisions.
Teleport does not guarantee that any payment method, currency, country, Product category or Service will remain continuously available.
Access to certain features may require a free, trial, paid or individually negotiated Service Plan.
The applicable Service Subscription Fee, billing period, features, limits, renewal conditions and trial terms are displayed:
a. in the User's Account;
b. when the User selects or changes a Service Plan; or
c. in an individual commercial agreement.
Service Subscription Fees are charged for access to and use of the Platform and are separate from:
a. Transaction Fees;
b. Minimum Transaction Fees;
c. Payment-Processing Charges;
d. Consumer Taxes;
e. payout and currency-conversion charges;
f. refunds and Chargebacks; and
g. other Transaction-related deductions.
Payment of a Service Subscription Fee does not remove or reduce Transaction Fees, Consumer Taxes or other Transaction-related deductions unless Teleport expressly states otherwise.
Unless stated otherwise, paid Service Plans renew automatically for the disclosed billing period until cancelled.
Teleport may change Service Plans, Service Subscription Fees, features and limits by providing reasonable notice. Changes required by Applicable Law, Payment Partners or urgent security considerations may take effect immediately.
5. User Products and Obligations
You are responsible for your Products and business activities, including:
a. legality;
b. accurate descriptions and pricing;
c. quality and functionality;
d. delivery and fulfilment;
e. customer support;
f. refunds and cancellations;
g. intellectual-property compliance;
h. consumer-protection compliance; and
i. correct tax classification.
You must provide complete and accurate information about each Product, including its type, delivery method, billing frequency, subscription conditions, refund terms and tax category.
You must clearly disclose to Buyers:
a. what they are purchasing;
b. the total price and currency payable by the Buyer;
c. whether the payment is one-time or recurring;
d. the billing interval;
e. delivery or access terms; and
f. refund and cancellation conditions.
You must not:
a. hide mandatory charges;
b. use misleading prices or discounts;
c. misrepresent recurring payments as one-time payments;
d. charge more than the amount disclosed to the Buyer; or
e. divide Transactions to avoid limits, Fees, verification or controls.
You must notify Teleport before making a material change to your business model, Product category, target market, fulfilment method, pricing structure, refund policy or expected Transaction activity.
Teleport may review, approve, reject, restrict or reclassify Products and business models.
Approval by Teleport does not constitute legal, tax, financial or commercial approval of a Product.
6. Teleport's Role and Relationship with Buyers
Depending on the applicable Service and Transaction structure, Teleport may act as:
a. a technology-platform provider;
b. a payment facilitator or collection agent;
c. a limited payment agent of the User;
d. a reseller or Merchant of Record; or
e. another role disclosed in connection with the Transaction.
Except where Teleport expressly confirms that it acts as seller, reseller or Merchant of Record, the User remains the seller or service provider responsible for the Product.
The User remains responsible for Product delivery, quality, functionality, legal compliance, customer support and fulfilment unless Teleport expressly assumes a particular obligation in writing.
Where Teleport collects funds on behalf of the User, the User appoints Teleport as a limited agent for:
a. receiving Buyer payments;
b. processing refunds and reversals;
c. deducting Fees, Consumer Taxes and other applicable amounts; and
d. settling the remaining amount to the User.
Payment by a Buyer to Teleport will normally satisfy the Buyer's payment obligation to the User for the amount received by Teleport.
Buyers may be required to accept separate checkout, payment, subscription, invoicing or privacy terms.
The User must not make representations to a Buyer that conflict with terms displayed by Teleport through the checkout or Platform.
7. Transactions
A Transaction is not final merely because a payment attempt has been initiated.
A Transaction may remain pending until:
a. payment is authorised and settled;
b. required verification is completed;
c. fraud and compliance checks are completed; and
d. Teleport or the relevant Payment Partner records it as successful.
Teleport may reject, delay, cancel, reverse or restrict a Transaction where:
a. fraud, unlawful activity or unauthorised use is suspected;
b. information is incomplete or inconsistent;
c. a limit has been exceeded;
d. the Product is prohibited or restricted;
e. required by Applicable Law or a Payment Partner;
f. there are insufficient funds;
g. a technical or pricing error occurred; or
h. the Transaction creates unacceptable legal, financial or reputational risk.
Teleport may apply per-Transaction, daily, weekly, monthly, payout, currency, country, Product or risk-specific limits.
Limits may differ between Users and may change based on verification, Transaction history, risk assessment or Payment Partner requirements.
Teleport does not guarantee that any Transaction will be accepted, completed or settled within a particular period.
8. Service Subscription Fees and Transaction Deductions
8.1. Service Subscription Fees
Service Subscription Fees are displayed within the User's Account or agreed separately.
They are charged for access to and use of the Platform and are not Transaction Fees.
Payment of a Service Subscription Fee does not remove or reduce Transaction Fees, Minimum Transaction Fees, Payment-Processing Charges or Consumer Taxes unless Teleport expressly states otherwise.
8.2. Transaction Fee
Unless another rate is displayed in the User's Account or agreed in an individual commercial agreement, Teleport charges:
3% of the Gross Transaction Amount for each successful Transaction.
Different rates may apply based on:
a. Transaction volume;
b. Product category;
c. payment method;
d. currency;
e. Buyer location;
f. risk profile;
g. Payment Partner costs; or
h. individual commercial terms.
8.3. Minimum Transaction Fee
The Transaction Fee for each successful Transaction will be no less than:
USD 0.30 or its equivalent in the Transaction currency.
The applicable Transaction Fee will be the greater of:
a. 3% of the Gross Transaction Amount; or
b. USD 0.30 or its equivalent.
The Minimum Transaction Fee generally applies to Transactions of USD 10 or less.
For example:
a. a USD 5 Transaction is subject to a USD 0.30 Transaction Fee;
b. a USD 10 Transaction is subject to a USD 0.30 Transaction Fee; and
c. a USD 20 Transaction is subject to a USD 0.60 Transaction Fee.
Teleport may apply different minimum fees for particular currencies, countries, payment methods, Product categories, Payment Partners or individual agreements.
8.4. Payment-Processing and Other Charges
Payment-Processing Charges may be included in the Transaction Fee or charged separately.
Additional charges may apply for:
a. currency conversion;
b. cross-border processing;
c. payouts and transfers;
d. alternative payment methods;
e. refunds;
f. Chargebacks;
g. failed or returned payouts;
h. blockchain networks; and
i. additional or exceptional services.
The applicable charges may be displayed in the User's Account, before or in connection with a Transaction, in a pricing schedule or in a commercial agreement.
8.5. Net Settlement Amount
Unless otherwise disclosed:
Net Settlement Amount = Gross Transaction Amount − Consumer Tax − Transaction Fee − Payment-Processing Charges − Other Applicable Deductions.
Where the Minimum Transaction Fee is greater than the percentage-based Transaction Fee, the Minimum Transaction Fee applies.
Service Subscription Fees are charged separately unless an overdue Service Subscription Fee is deducted from the User's Balance.
8.6. Deduction and Changes
The User authorises Teleport to deduct applicable amounts from:
a. the Gross Transaction Amount;
b. the Balance;
c. pending or future settlements;
d. a Reserve;
e. a linked payment method; or
f. another amount payable to the User.
Transaction Fees and related charges may remain payable where a Transaction is later refunded, reversed, disputed or subject to a Chargeback.
Teleport may agree or introduce alternative fee structures, including different percentage rates, minimum fees, percentage-plus-fixed-fee pricing, volume pricing or individually negotiated terms.
Teleport may change Fees and charges by providing reasonable notice. Changes may take effect immediately where required by Applicable Law, Consumer Tax changes, Payment Partner pricing, currency conditions, fraud or security risks.
Banks, payment providers, wallet providers and blockchain networks may impose additional third-party charges that are outside Teleport's control.
9. Digital Products and Consumer Taxes
This Section applies primarily to sales of Digital Products to Consumers.
Consumer Transactions may be subject to VAT, GST, sales tax, use tax, digital goods tax, digital services tax or another equivalent indirect tax or governmental charge.
The applicable Consumer Tax may depend on:
a. the Buyer's country, state, province or region;
b. the Product's tax classification;
c. whether the Buyer is a Consumer or Business Buyer;
d. the Buyer's billing and payment information;
e. the Transaction currency and payment method; and
f. the legal and tax structure of the Transaction.
Teleport may determine the Buyer's location using:
a. billing address;
b. country of residence;
c. IP address;
d. payment-instrument issuing country;
e. telephone-country code;
f. bank or Payment Partner information; and
g. other evidence accepted or required under Applicable Law.
Where the available information is incomplete, inconsistent or cannot be verified, Teleport may request additional information, delay or reject the Transaction, treat the Buyer as a Consumer or apply the tax treatment reasonably determined by Teleport or its tax provider.
The Product price displayed to the Buyer is the total amount payable by the Buyer, unless Teleport expressly states otherwise before the Transaction.
Where Consumer Tax applies, Teleport will calculate the applicable Consumer Tax as part of the amount paid by the Buyer.
Consumer Tax will not be added to the Product price as a separate additional charge.
The applicable Consumer Tax will be deducted from the Gross Transaction Amount before the Net Settlement Amount payable to the User is calculated.
Where Teleport acts as reseller or Merchant of Record, or where otherwise authorised or required under Applicable Law, Teleport may:
a. determine whether Consumer Tax applies;
b. determine the applicable tax rate;
c. calculate and withhold Consumer Tax from the Gross Transaction Amount;
d. collect payment from the Buyer;
e. issue an invoice or receipt;
f. report the Transaction; and
g. remit Consumer Tax to the relevant authority.
Consumer Tax is separate from:
a. Service Subscription Fees;
b. Transaction Fees;
c. Minimum Transaction Fees;
d. Payment-Processing Charges; and
e. other Transaction-related deductions.
The application of Consumer Tax does not reduce or replace the Transaction Fee, Minimum Transaction Fee or another applicable charge.
The User acknowledges that the Net Settlement Amount may vary between Transactions even where the same Product is sold at the same price.
The Net Settlement Amount may vary because of differences in:
a. the Buyer's location;
b. the applicable Consumer Tax rate;
c. the Buyer's Consumer or business status;
d. the payment method;
e. the Transaction currency;
f. currency conversion;
g. Payment Partner charges; and
h. other Transaction characteristics.
Teleport does not guarantee that the User will receive the same Net Settlement Amount from every sale of the same Product.
Teleport may display an estimated Consumer Tax, Transaction Fee or Net Settlement Amount.
The final calculation may differ due to verified Buyer information, final Product classification, currency conversion, Payment Partner charges or updated tax information.
The User must provide complete and accurate Product information required to determine the applicable tax classification.
Teleport may classify or reclassify a Product where reasonably required by Applicable Law, a tax provider or Payment Partner.
The User is responsible for losses, penalties, interest, additional taxes and reasonable costs caused by inaccurate, incomplete or misleading Product information supplied by the User.
Where a Transaction is refunded, cancelled, reversed or disputed, Teleport may adjust the Consumer Tax and Net Settlement Amount in accordance with Applicable Law.
Where Consumer Tax cannot be recovered or reversed, Teleport may deduct the relevant amount from the User's Balance, future settlements or Reserve.
Teleport's calculation, collection or remittance of Consumer Tax does not relieve the User of the User's own personal income tax, corporate tax, payroll tax, tax-registration or reporting obligations.
Teleport does not provide tax, legal or accounting advice.
10. Business Buyers and B2B Transactions
A Buyer may be treated as a Business Buyer where sufficient business and tax information is provided.
Teleport may request:
a. legal business name;
b. registered business address;
c. company registration number;
d. VAT, GST or another tax-identification number;
e. billing contact details; and
f. supporting documents.
Providing business information does not automatically establish Business Buyer status or create a tax exemption.
Teleport or its tax provider may verify the information supplied.
Where information is incomplete, invalid, inconsistent or cannot be verified, Teleport may treat the Buyer as a Consumer, apply Consumer Tax, request further information or reject or delay the Transaction.
B2B Transactions may be subject to:
a. reverse-charge treatment;
b. zero-rating;
c. withholding tax;
d. tax self-assessment by the Business Buyer;
e. local invoicing requirements; or
f. another treatment under Applicable Law.
The fact that a Transaction is B2B does not guarantee that no tax will apply.
Unless otherwise agreed, all Transaction-related charges under Section 8 also apply to B2B Transactions.
Individual B2B Users or Transactions may be governed by separate commercial, invoicing, pricing or tax arrangements.
11. Subscriptions and Recurring Payments
The User may initiate recurring payments only where the Buyer has clearly agreed to:
a. the recurring nature of the payment;
b. the price or calculation method;
c. the billing interval;
d. any trial period;
e. renewal conditions; and
f. cancellation procedures.
The User must provide any notice required by Applicable Law before materially changing:
a. the Subscription price;
b. billing frequency;
c. renewal conditions; or
d. the Product supplied.
Buyers must be given a reasonably accessible cancellation method where required by Applicable Law.
Cancellation normally prevents future charges but does not automatically create a right to a refund for amounts already charged.
Teleport may retry failed recurring payments but does not guarantee recovery.
A Subscription may be suspended or terminated where payment fails, the Buyer cancels, the User's Account is restricted, the Product is no longer supported or the relevant payment method becomes unavailable.
12. Settlements, Payouts and Currency Conversion
Funds become available for payout only after:
a. the Transaction is completed;
b. applicable holding periods expire;
c. compliance and fraud checks are completed;
d. Consumer Taxes and Transaction-related deductions are applied; and
e. sufficient funds remain after Reserves and liabilities.
Payout methods, minimum payout amounts, processing periods and charges are displayed within the Account or agreed separately.
Payout periods are estimates and not guaranteed deadlines.
The User is responsible for providing accurate payout details.
Teleport is not responsible for delays or losses caused by:
a. incorrect bank or wallet information;
b. a missing reference, tag or memo;
c. an unsupported network;
d. restrictions imposed by a bank or wallet provider; or
e. information supplied through unauthorised access to the Account.
Where currency conversion is required, Teleport or a Payment Partner may apply:
a. the exchange rate available at the time of conversion; and
b. an applicable conversion margin or charge.
The final amount received may differ from an earlier estimate because of exchange-rate changes and third-party charges.
Teleport may delay, reject or reverse a payout where:
a. additional verification is required;
b. information is inaccurate;
c. fraud or compliance concerns exist;
d. disputes or Chargebacks are pending;
e. the payout would violate Applicable Law;
f. the User owes money to Teleport; or
g. a Payment Partner requires such action.
13. Refunds, Chargebacks and Reserves
The User is responsible for maintaining and communicating a lawful refund policy.
The User's refund policy must not restrict mandatory consumer rights.
A refund may be initiated by:
a. the User;
b. Teleport;
c. a Payment Partner;
d. Applicable Law; or
e. a dispute-resolution process.
The User authorises Teleport to deduct refunds and related costs from:
a. the relevant Transaction;
b. the Balance;
c. future settlements;
d. a Reserve; or
e. a linked payment method.
Unless required otherwise by Applicable Law:
a. Transaction Fees and Minimum Transaction Fees may be non-refundable;
b. Payment-Processing Charges may be non-refundable; and
c. additional refund-processing charges may apply.
The User is financially responsible for Chargebacks relating to the User's Products unless Teleport expressly agrees otherwise.
The User must promptly provide evidence requested to challenge a Chargeback, including order records, Buyer consent, delivery or access records, communications and applicable policies.
Teleport does not guarantee that a Chargeback will be successfully challenged.
Teleport may deduct:
a. disputed amounts;
b. Chargeback fees;
c. Payment Partner charges;
d. penalties; and
e. reasonable investigation or administrative costs.
Teleport may establish or change a Reserve based on:
a. Transaction volume;
b. fulfilment period;
c. Product category;
d. refund and Chargeback history;
e. fraud indicators;
f. financial condition;
g. Buyer complaints;
h. Subscription exposure; and
i. Payment Partner requirements.
A Reserve may be a fixed amount, percentage of Transactions, rolling reserve, temporary hold or another risk-based arrangement.
A Reserve may remain in place after suspension or termination for as long as reasonably necessary to cover potential liabilities.
Teleport may set off amounts owed by the User against the Balance, pending Transactions, future settlements, Reserves or other amounts payable to the User.
Where deductions exceed available funds, the Account may have a negative Balance that the User must repay.
14. Digital Assets
Where Teleport provides digital-asset Services:
a. blockchain Transactions may be irreversible;
b. the User must verify the asset, network, destination address and any required tag or memo;
c. Teleport may be unable to recover assets sent to an incorrect address or unsupported network;
d. network fees and confirmation delays may apply;
e. digital-asset values may fluctuate; and
f. Teleport may suspend support for an asset or network for legal, security, technical, liquidity or Payment Partner reasons.
Teleport does not provide investment advice or guarantee the value, liquidity or continued availability of any digital asset.
15. Prohibited Use, Suspension and Termination
The User must not use the Services to:
a. violate Applicable Law;
b. facilitate fraud, money laundering, terrorist financing or sanctions evasion;
c. mislead Buyers or Teleport;
d. process Transactions for undisclosed third parties;
e. process payments unrelated to the declared business;
f. create sham, circular or self-funded Transactions;
g. manipulate Transaction volumes;
h. evade limits, Fees, Reserves, verification or monitoring;
i. infringe intellectual-property or privacy rights;
j. distribute malware or gain unauthorised access;
k. engage in deceptive or unfair commercial practices; or
l. sell prohibited Products identified in the Acceptable Use Policy.
Certain Product categories may require Teleport's prior approval.
Teleport may restrict or suspend an Account, Transaction, Balance, payment method, Product or Service where:
a. this Agreement is breached;
b. information is inaccurate, incomplete or outdated;
c. fraud, unlawful activity or a security incident is suspected;
d. verification requirements are not satisfied;
e. the User creates unacceptable legal, financial or reputational risk;
f. the User has a negative or unpaid Balance; or
g. required by Applicable Law, a competent authority or Payment Partner.
Where legally and reasonably possible, Teleport will inform the User of the restriction and any steps required to resolve it.
The User may request Account closure at any time after:
a. fulfilling outstanding Buyer obligations;
b. cancelling or transferring active Subscriptions where appropriate;
c. paying amounts owed to Teleport; and
d. providing information required for a final payout.
Teleport may terminate this Agreement:
a. on reasonable notice for business reasons;
b. immediately for material breach;
c. immediately for fraud, sanctions or prohibited activity;
d. where a Payment Partner no longer supports the User's activity; or
e. where continuing the relationship creates unacceptable risk.
Termination does not affect pending Transactions, refunds, Chargebacks, Reserves, tax obligations or other accrued rights and liabilities.
16. Data, Intellectual Property and Confidentiality
Teleport processes personal data in accordance with its Privacy Policy and Applicable Law.
The User must:
a. have a lawful basis for providing Buyer and customer data to Teleport;
b. provide any legally required privacy notices;
c. obtain any legally required consents;
d. use personal data only for lawful purposes;
e. maintain appropriate security measures; and
f. notify Teleport of any personal-data incident affecting the Services.
Teleport may share data with Payment Partners, identity-verification providers, fraud-prevention providers, tax providers, professional advisers and competent authorities where permitted or required.
Teleport and its licensors retain all rights in:
a. the Platform;
b. software;
c. APIs and documentation;
d. databases;
e. designs and interfaces;
f. trademarks and logos; and
g. related intellectual property.
The User retains ownership of Product materials and other content uploaded to the Platform.
The User grants Teleport a worldwide, non-exclusive and royalty-free licence to host, reproduce, display, process and use such content as necessary to:
a. provide the Services;
b. display Products;
c. process Transactions;
d. provide support;
e. prevent fraud; and
f. comply with Applicable Law.
The User confirms that the User owns or has permission to use all uploaded content.
Each party must protect the other party's non-public business, technical, financial and customer information and use it only for purposes connected with this Agreement.
Teleport may use affiliates, Payment Partners and subcontractors to provide the Services.
17. Disclaimers, Indemnity and Liability
The Platform and Services are provided on an "as is" and "as available" basis.
Teleport does not guarantee that:
a. the Services will be uninterrupted, secure or error-free;
b. every Transaction will be completed;
c. every payment method, currency or country will remain supported;
d. every Buyer is legitimate or creditworthy;
e. every Chargeback will be successfully challenged; or
f. the Services will meet every User's business, financial, legal or tax requirements.
Teleport does not provide legal, tax, accounting, investment or financial advice.
To the maximum extent permitted by Applicable Law, Teleport is not liable for:
a. indirect, incidental, special, punitive or consequential loss;
b. loss of profit, revenue, business, opportunity or goodwill;
c. loss or corruption of data;
d. Buyer conduct;
e. exchange-rate or digital-asset price changes; or
f. independent acts, omissions, charges, outages or decisions of banks, Payment Partners, payment networks or other third parties.
To the fullest extent permitted by Applicable Law, Teleport's total aggregate liability arising from or relating to this Agreement will not exceed the total Service Subscription Fees and Transaction Fees actually paid to and retained by Teleport during the six months immediately preceding the event giving rise to the liability.
For the purpose of calculating this limit, amounts retained by Teleport do not include:
a. Consumer Taxes;
b. Payment-Processing Charges passed through to third parties;
c. User funds;
d. refunds;
e. Chargebacks; or
f. Reserves.
All claims arising from the same event, connected events or substantially the same cause will be treated as a single claim.
Nothing in this Agreement excludes or limits liability:
a. for fraud or fraudulent misrepresentation;
b. for wilful misconduct;
c. where liability cannot legally be limited; or
d. for User funds that Teleport is legally required to return and that are not subject to a lawful Fee, tax, Reserve, hold, refund, Chargeback or set-off.
The User agrees to indemnify Teleport and its affiliates, directors, officers, employees and service providers against claims, losses, liabilities, penalties, taxes and reasonable costs arising from:
a. the User's Products or business activities;
b. breach of this Agreement;
c. violation of Applicable Law;
d. disputes with Buyers;
e. inaccurate Product or tax information;
f. intellectual-property infringement;
g. misuse of personal data; or
h. fraud or misconduct by the User or persons using the Account.
18. Changes, Communications and General Terms
Teleport may send contractual, operational, compliance and security notices by:
a. email;
b. the User's Account;
c. the Platform; or
d. another electronic channel associated with the Account.
The User is responsible for keeping contact information current.
Teleport may amend this Agreement by publishing an updated version and revising the "Last updated" date.
Where a change materially affects existing Users, Teleport will ordinarily provide reasonable notice.
Changes required by Applicable Law, tax rules, Payment Partners, fraud prevention or security considerations may take effect immediately.
Continued use of the Services after an updated Agreement becomes effective constitutes acceptance of the updated Agreement.
If the User does not agree to an updated Agreement, the User must stop using the Services and close the Account.
This Agreement and the policies incorporated by reference constitute the entire agreement between Teleport and the User unless a separate written commercial agreement applies.
In the event of conflict, the following order applies:
a. a signed commercial agreement or order form;
b. this Agreement;
c. service-specific terms;
d. the Risk and Reserve Policy;
e. the Refund and Dispute Policy;
f. the Acceptable Use Policy; and
g. other operational documentation.
The User may not assign this Agreement without Teleport's consent.
Teleport may assign this Agreement to an affiliate, successor or purchaser of the relevant business.
If any provision is invalid or unenforceable, the remaining provisions remain effective.
Failure to enforce a provision does not waive the right to enforce it later.
Nothing in this Agreement creates a partnership, joint venture, employment, fiduciary or franchise relationship, except for a limited agency expressly described in this Agreement.
Teleport is not liable for delay or failure caused by events beyond its reasonable control, including natural disasters, war, government action, regulatory changes, internet or power failures, cyberattacks and failures of banks or Payment Partners.
This Agreement may be translated. Unless mandatory Applicable Law requires otherwise, the English version prevails.
Provisions concerning Fees, Consumer Taxes, settlements, refunds, Chargebacks, Reserves, intellectual property, confidentiality, indemnity, liability and disputes survive termination.
19. Governing Law, Disputes and Contacts
This Agreement is governed by the laws of the Republic of Indonesia.
Before starting formal proceedings, the parties will attempt in good faith to resolve the dispute through written negotiations.
A User must first send a written description of the dispute to connect@teleport.ltd.
If the dispute is not resolved within 30 days, it will be submitted to the competent courts of Denpasar, Indonesia, unless mandatory Applicable Law requires another forum.
Nothing in this Section removes mandatory rights that cannot legally be excluded.
